REDA invites bids/quotation from Peer Reviewed Company Secretary as defined under SEBI (Listing Obligations and Disclosure Requirement) Regulations, (“SEBI LODR”) (called Bidder) to conduct Secretarial Audit of the Company in line with the specifications, requirements, terms and conditions elaborated in the bidding document and provide the Secretarial Audit Report as per the requirement of the Companies Act, 2013 including the certificate and reports as required under the SEBI Regulations and as per the Guidelines on Corporate Governance for Central Public Sector Enterprises(CPSEs), 2010 issued by DPE.

Indian Renewable Energy Development Agency Limited (“IREDA” or “Company”) is, a Navratna Government Company under the administrative control of Ministry of New and Renewable Energy (“MNRE”) and Non-Banking Financial Company with Infrastructure Finance Company (IFC) Status in terms of RBI guidelines.

The Company is engaged in the business of financing of Renewable Energy & Energy Efficiency Projects. IREDA invites bids on Government e-Marketing (GeM) portal for the Appointment of Secretarial Auditor. 

IREDA is listed on both the Stock Exchanges i.e., National Stock Exchange of India Limited (NSE) and BSE Limited (BSE). The authorized and paid-up share capital of the Company are 60,00,00,00,000 and 26,87,76,47,060 respectively. At present, the Government of India holds 75% of shareholding in the Company.

Eligibility:

1. Bidder should be peer reviewed company secretary and have a minimum 7 years’ experience in Full Time Practice at the time of submission of tender

2. Bidder should have experience of conducting minimum 07 secretarial audits of different companies out of which at least 03 Secretarial Audits should be of Equity Listed Companies (Listed on NSE and BSE) in the last three financial years 2021-22, 2022-23 and 2023-24.

3. Bidder should have an experience of conducting of minimum 07 secretarial audits out of which at least 01 Secretarial Audit should be of Govt Non- Banking Financial Companies (NBFC) in the last three financial years viz., 2021-22, 2022-23 and 2023-24

4. Bidder should have at least two active partners in full time practice, or should have minimum two full time employees, who are qualified Company Secretaries with ICSI Membership (other than the PCS himself/herself); The Lead Partner/Proprietor/Individual, under whose supervision the Secretarial Audit of IREDA will be carried out, should have minimum 7 years of continuous Post Qualification Experience (without any break) in full time practice.   The cut-off date for ascertaining experience will be 31.03.2024.

5. The Bidder should have desired experience in handing similar contracts as main contractor during the last three financial years 2021-22, 2022-23 and 2023-24 in either of the following manner  (a). Single work order of value not less than Rs 1,12,000/- or (b). Two work orders each of value not less than Rs 70,000/- or (c). Three work orders each of value not less than Rs 56,000/

6. Bidder shall have his office in Delhi-NCR Region.  (Delhi, Noida, Gurgaon, Ghaziabad, Faridabad)

7. The Bidder must not have been blacklisted by any Government Department/ Central Public Sector Undertaking (CPSU)/State Public Sector Undertaking (SPSU)/Banks/Autonomo us Bodies/Statutory Bodies in India at the time of submission of bid.

8. The Bidder should have average turnover (exclusive GST) of at least Rs 3.00 Lakh or more in preceding three FYs i.e. 2021-22, 2022-23 and 2023-24
