                                                                            As per section 458 of the Companies Act, 2013, the Central
                                                                            Government may, by notification, and subject to such conditions,
                                                                            limitations and restrictions as may be specified therein, delegate any
                                                                            of its powers or functions under this Act other than the power to
                                                                            make rules to such authority or officer as may bespecified in the
                                                                            notification.

                                                                            Central Government has by notification dated 21-05-2014 delegated
                                                                            to the Regional Directorates, the power and functions under the
                                                                            following sections:

- Section 8(4) related to alteration of Memorandum in case of conversion into another kind of company

- Section 8(6) related to power to revoke the licence granted to an AOP registered under section 8 with charitable objects as limited company without the words Limited or Private Limited

- Section 13(4) and (5) related to the approval or disposal of application and alteration of the memorandum relating to change in the place of the registered office from one State to another

- Section 16 related to the rectification in the name of the company.

- S ection 87 related to rectification in the register of Charges

- S ection 111(3) related to Central Government power to declare that right to requisition of members circulation are being abused to secure needless publicity for defamatory matter.

- Section140(1) related to approval of the Central Government to remove an auditorbefore the expiry of his term

- Section399(1) related to Central Government’s power to grant permission for inspection, production of
documents delivered to the Registrar with a prospectus after 14 days

This notiflcation shall come into force from the date of its publication in the Official Gazette.
